I see Deathstroke winning to be honest. Slade's definitely of the more versatile street-levelers and he has the tools needed to take this fight. He can decapitate Cap with the promethium sword and absorb lightning in a somewhat similar fashion as he already did to Superman's heat vision in Priest's Deathstroke #8.

The only problem lies if Cap gets one actual hit in. That would kill Slade but I would argue he's relatively untaggable in this match given he's far more skilled and tactical along with his raw kneejerk reactions being on par with pretty much everything coming his way. This has allowed him to hold his own against characters well above his weightclass such as Donna Troy, Starfire and Captain Marvel Junior...Some examples to note:

• Reacts to Captain Marvel Junior attempting to blitz him, flips him in midair wherein he can mount no resistance, and ultimately gains an upperhand
• Ducks under Donna's punch, thus making her lose footing, and ragdolls her
• Ragdolls Wonder Girl into Starfire through exploiting Donna's lack of footing and thoughtless confidence

Now, I realize Cap has quite the reach advantage over him with his shield but Slade is incredibly agile himself so I don't think that's going to be any relevant advantage. Slade has the reflexes and weapons to put Cap down, and that's why I'm putting my money on Deathstroke here.
