Round 1: Pure unarmed combat, morals off
Round 2: Who is a better person to have on a team?
Round 1: Melinda May wins. She is just plain better. Sam lacks both the quantity and qualitity feats in that category. Splinter Cell was never a melee based game so this shouldn't be surprising.
Round 2: Sam Fisher. He is a highly trained Navy SEAL and former member of third Echelon before he killed all of them. Now the first reason why Sam is the better specialist and also the reason why he would beat May in a fight is "Stealth". This is where Sam shines. He is fully capable of sneaking up on top CIA operatives and has infiltrated high security places that were guarded by the best in the world. For example he has escaped Guantanamo Bay, infiltrated the white house, which was guarded by other Third Echelon (Splinter Cell) Agents just like him, infiltrated the Third Echelon HQ in which he had to navigate around laser systems. He is practically a Ghost.
The 2nd reason why Sam wins is "Gear". The Ultra High-Frequency Sonar Goggles are almost like a unfair advantage in any Cat & Mouse combat situation. They give Sam thermal & sonar vision, which basically allows Sam to find X before X finds him. No matter what his opponents do, Sam will know about it. And his Equipment advantage doesn't stop there. He also has a portable EMP weapon. A generator that is capable of disabling electronics without damaging them. When activated the Portable EMP disables electronics in a large radius around Sam and his enemies and stuns them. Sam can use the darkness and confusion to make quick escape or launch an attack. He has many more toys that make this match-up one-sided, but this should give you a vague idea why Sam is the superior operative.
I'm gonna side with May in R1. I think she is more skilled and fluid in hand to hand combat, taking on superhumans like Kree or SHIELD specialists like Ward. But Sam is respectable.
As for who I'd rather have on my team... it's close. It depends on the situation, I guess. Sam would be better for stealth & recon ops, while May would be better for piloting & combat ops. Sheer tactical acumen would be relatively even between the two of them.
I've only played 2 Splinter Cell games so I can only base off of those. While Sam Fisher is good, I'm going to have to go with May both rounds. Now if we went with Solid Snake on the other hand >.>
Sam and its really not that close... i mean May is good so she'll make Sam work for it, but Fisher should beat her

May has broken Hydra Agents necks while they were dressed in full body armour casually, snapping necks is worse than nothing to her.

Completely out skills the greatest soldiers in his universe. Treats fellow Splinter Cells as children. Highest ranked Krav Maga master you can be and experienced in a variety of martial arts due to his well rounded training. Uses pressure points, nerve strikes, dirty moves, consistently. Possesses bone breaking strength, and even hit a guy hard enough to stop his heart.
Hes far more durable than May considering that his armor can take explosions, bullets, high falls, high speed car and motorcycle crashes. His natural pain tolerance is also higher considering that while having a broken foot he managed to kick out a part of a concrete wall - Conviction novel. Also shrugging off being shot in the shoulder at the end of Conviction - game.
