I'm going with Nate. Legion is potentially more powerful, but don't see how Legion can hurt Nate outside of the Astral Plane. Three reasons;
 
1. It's Nate's primary ability. Therefore, I'd imagine he has more experience.
2. I haven't seen Legion perform many inmpressive feats.
3. Legion doesn't exactly have his head on straight. Plus, Nate showed in Dark X-Men that he is pretty good at manipulating a person's emotions (I think, anyway).

Nate Grey will be in New Mutants 25 where the New Mutants are hunting him and Blink down if promos are to be believed . Legion will be X-men Legacy 248.  I would say Nate wins he is more sane so that should give him an advantage.  The supposed "Elder Gods" were absolutely featless so I am not sure how to even rank that win for David.

Didn't Legion teleport the while city of Asgard to a next dimesion, while Odin was present?

Nate seems to be more skilled at his primary powers then Legion is at his. Legions instability will be his undoing.....

Ability to access any personality would include Moira and True Legion personality, Nate is in trouble then.

Wouldn't it make sense for Nate (being the superior psi in general) to take advantage of Legion's fragile psyche and mental instability

I'd give this to Legion.

No matter how skilled Nate is, he has not what it takes to bring someone like Legion down, his look will just kill him. David has the power to shut down mutant's abilities as well as activating their X-Gene. And in that case Legion stomps

But then Nate is hosting the Phoenix Force, and that is another story, even if legion time travels then so can the hosts of the Phoenix and legion is nowhere near that level of power.

So by being PF's host Nate wins, without then David wins. Legion would see his doom coming bfr the battle starts if he goes against any host of the PF.

I think Legion would obliterate Nate if David Haller's personality is in control, giving him complete control over his powers, but if some random personalities are in control of Legion Nate wins.

Legion is a universal reality warper (stuffed 616 in a box then hid it away) he also erased the Elder God's of Limbo from existence. I'm a huge Nate fan, but even I can see that Nate take's an L here.

Nate is probably a more powerful, or more like, well-versed telepath, but overall power? He's so much beneath Legion it isn't even funny. At best Nate is a minor reality warper, Legion is universal+ easily.

I'll give it to the God Mutant...and I'm not talking Nate.

Nate by far, too much refined control and bounds more power.

If David’s only personality limit is Time-Sink, then he murders Nate in a mismatch

The picture shows nate with the phoenix,so I am going to assume you mean he is the shaman.Noone on earth can compete with him,due to the fact he is supposed to be the most powerful mutant ever created.Even if Legion stopped time,he couldn't kill X-man because he is a psionic entity and therefore CANNOT be killed.While they are two of my favourite characters,Nate could kill David,albeit inadvertently,in his sleep,literally.He almost destroyed earth while having a nightmare...This is not even close as Shaman Nate Grey, with the phoenix or without it,can only be killed by the Beyonders or the One-Above-All.Actually,now that I think about it,Nate could kill the Beyonders if he knew their weakness,time manipulation,something which nate has been shown to possess in a limited manner (temporal stasis).

On topic David wins handily, outside of Franklin Richards he’s the most powerful mutant around.

Nates power is said to rival the Phoenix Force (Psionic Force anyway). He can even survive without a body and beat Legion in his astral form so I'd say Nate.

@smoothsanta: I am not sure I agree with that but at those power levels literally anything is possible.

Nates never had Phoenix level feats just statements. I love his character but unfortunatly he’s well below David as we’ve never gotten to see his full potential. I would love for him to get the Phoenix force and be the definitive Phoenix, then let Jean rejoin the X-Men and have her own life.
