So i have actually spent a considerable time researching Haoshoku Haki (or Conquerors Haki). The biggest misconception is that it is based on will. Will actually has nothing to do with determining whether it effects someone. It is based off of ones total Haki or energy. If a person has significantly more spiritual power, then it will KO them. The reason people often think it is related to will is because it overpowers someones will if they are not physically/ spiritually strong enough to resist it. It also only manifests itself in those who have very high will power. This has been evidenced on numerous occasions. The first is that at Marineford it was the weaker soldiers and pirates being KO. However there is no reason to assume they would have any weaker of a will, since they had committed themselves to the same battle. The more prominent examples are stated by Oda himself when he said Shanks could have KO'ed everyone at fish-man island because of how much stronger he was. Basically he says that the Heart and Kid Pirates did not get knocked out because they were strong enough to resist it. In Manga he calls says they are not "lightweights, in the anime it is translated as they must be quite strong. Never mentioned will once. (The reason Nami and Usopp were not KO was because he purposely did not target them).
So basically it will KO someone who is physically or spiritually weaker if they have less energy. Its actually incredibly similar to ki in DBZ. In fact it is the exact same. if someones spiritual energy which is the intangible manifestation of ones strength is considerably lower, they will be KO. Not just fodder either. It has KOed some pretty powerful people. It knocked out pirates strong enough to survive in new world. Marine captains, and even amazons.
