Not like that. Venom and Spawn's symbiote has some type of immunity to the penance stare.
Spawn has unspeakable powers. GR only have limited powers. Spawn will eat him alive. But it would be a nice fight to see.... Lets see GR get smashed by Spawn that would be fun.

Dr. Strange said that Ghost Rider's powers were godlike. Unboundable. Spawn no longer has his divine powers, so Ghost Rider could easily take him down.
I really don't the two suits have anything to do with each other (except maybe Todd McFaralnd). There is no reason that Spawn would be immune to the penance stare, and i bet he also sets off Spidey's spider sense.

In issue #163 he resurrected all humans and undid all the damage from the Four Horsemen. However, after returning to his original Hellspawn form, he seems to have lost a great deal, if not all, of his divine powers.

oh brother! dont you know spawn is immortal he has the ability to walk through fire without even gettting burned he is also able to be invisible and has chains of his own that are actually alive yup thats right the ghost rider only turns at night.oh yea dont you know spawn can fly. spawn would take ghost riders motorcycle from him and snap it right in half in front of his face and dont you know that spawn has one of the most fastest teleportion technique he is also able to walk right through walls do you even know that spawn has the ability heal very fast do you even know that spawn is phsic and would just use his mind.
penance stare would not work and ill tell you why violator tried to use spawns past against him making him see the murders. spawn had told him how he has left the past and that was no longer a part of him and instead reversed it all on violator im saying this because penance stare is something like that and if gr tried to do this to spawn he would just reverse it on him.
