Well Fantomex has telepathy blockers in his mask, but I'm not sure if what Vertigo has qualifies as telepathy.

If Vertigo keeps hs distance at the start of the battle he wins. He just flies out of reach, subdues Fantomex and then gets close for the KO. If Fantomex manages to hit first, he probably wins. Vertigo's flight is his greatest advantage here.

Fantomex. Even under the thrall of Vertigo's power he could employ misdirection and win. Vertigo has no answer to it.
