Batman vs. Spider-Man

A friend asked me this question and it is more intriguing than I thought. If Spider-Man lands a good punch, Batman is out. If Batman is using his shocker things, and lands a punch, I would say it would definitely put a hurting on Spider-man. If prepared and in a large area with few hiding spots and both know who they are fighting, who wins. Does Batman have a chance? Batman does have his utility belt and extra bat-a-rangs. Another question, could his bat-a-rangs cut through webbing?
