Well if both are true then I'll give this to Ghost rider, he can use his chains (forged in heaven = one of Spawn's weaknesses) to send Spawn back were he came from. Unless invulnerability is a magical trait, then Spawn wins.

Knowing that spawn is a world renowned assassin I would have to give it to him. Because with no magic means that he can rely on his costume which can make Mystical Weaponry from which he CAN hurt or even KILL the ghost rider. And people please stop relying on the penance stare, cause it will not work, mainly, because number one: Spawns suit is a symbiote and it will not be affected because technically the suit owns Al Simmons, not the other way around, so the suit will not be harmed because it has no soul(check out ghost rider vs venom) number two: the penance stare will leave the rider open for K7-Leethas chain decapitation which will kill the rider, cause spawns suit is a supreme mystical entity of the underworld and lastly spawn is an assassin. Spawn most definitely will not lose to the rider. I guarantee it

-Spawn wears a living symbiotic costume, Leetha of the 7th House of K (aka: K7-Leetha).His cape, spikes, chains, and skulls are all part of an organism bonded to his central nervous system that will protect Spawn even if he is unconscious.

-It is the necroplasm which gives him his strength and durability. His strength is capable of lifting an entire building and throwing it with ease.

-The suit is a K7 model which is one of the pureblood breeds that siphons the souls of those it kills and sends them straight to Hell to bolster Malebolgia's army. The K7 model is a stronger, more refined symbiote which makes this Spawn stronger than many that came before him and some that have come after him

-The true source of the costume is the necroplasm in Spawn's body, which it feeds off of. It is possible for Spawn to draw this energy back when he needs it, using it to power his abilities without draining his own reserves. The costume can also feed off evil energy from the physical world, feeding off the ambient evil of people, animals (mainly carrion insects, but also wolves and bats) and even certain parts of the city.

-Spawn had been given great power due to the help of the Greenworld and the Mother. He was given the power to control the Earth itself after his battle with Urizen and used this power to swallow him whole in the Earth. After giving him a piece of fruit from the Tree of Life the Mother gave Spawn godlike power. He used these new powers to engulf an army of Hellspawn in the Earth and send them back to Hell. He also used this power to destroy all of Hell and Heavens forces and the reconstructed all of Earth and it’s people and trapped God and Satan in their own realm to fight.
