@DireDrill: Does your evil corporation do any of these things?
Do you govern land, dictating political policies, controlling a countries natural resources and or borders? Have you replaced a countries army with your own, or do you possess an army? In short if you have any significant control over territory inside the solar system then you have an empire.
If it doesn't directly govern land, does not control political polices, does not control a portion of the worlds resources and borders, or have a real army then it isn't a country.
From what it sounds like you're okay. Lexcorp was nice and everything, but they never had anything like the power of an actual first world country.
For subterranean races you would need to apply the same rule quoted above.
If its just a race of people who live under ground your fine :-) However if they own underground land, have a political system, control natural resources, have borders, and a army then that's an empire. Its actually still okay, so long as its a NPC Empire ANYONE can NPC. If you claim all the NPC's as yours, that's no different then running it as a PC and you have an Empire.
