Who wins and why?

Sinestro.

Sinestro. Lex can compete w/ Supes with prep because he can exploit Superman's weaknesses to bring him down to his level. Sinestro doesn't really have any weakness that Lex can exploit, and Sinestro outclasses him by a mile in just about every measure. Sinestro's only flaw is his pride, but I can't conceive of a way Lex could exploit that in a meaningful/game changing way. Sinestro dices him.

Also - morals on for these 2 is kind of irrelevant...

Some people consider morals off=anything goes. The point of having morals on is that there both in character.

Considering he is shown in the OP with his suit on, we can all tell he has his suit and I doubt jashro44 would be Lex in a battle with a powerhouse like Sinestro without his suit

Lex has a decent shot...with a good day of prep he can pull some serious stuff out of his closet ... I'm pretty sure he has enough time to find Larleeze and get the Orange Ring back...if he can do that he wins for sure, without it....he can pull out the Kryptonian Battle Suit that Superman was fighting with so hard the shock waves were causing quakes .... alternatively, Lex can mobilize his army of Doomsday clones and give himself Superman's powers like he did against Steel during the Everyman Project series .... I haven't seen any prep feats from Sinestro to suggest he can utilize his time as effectively as Lex can....if Lex is allowed to call in his Doomsday clones, I'd give him wins off the bat. But as long as he can give himself powers, upgrade his Warsuit with Kryptonian Battle Suit tech or Fourth World Tech, he can definitely put up a legitimate fight and win. If he can visit Larfleeze and "borrow" a ring, he's set for a very solid win....after all, he was able to take on Larfleeze in the first place, no way Sinestro is gonna do better than that.

I think Lex takes this, but mostly because he has prep.

With that same amount of time, Lex becomes the Phantom Zone God....

took him months to do the research and make preparations, but it didn't take him more than an hour to get into the phantom zone, kill robot lois, battle the Phantom Zone God, and fuse with it...
