This is pretty close, i dont think there is a huge difference between the power level of the 2. Odin force also gives you the ability to manipulate soul, time manipulation and a whole lot of abilities which Zarathos has as well.
Had it been Odin, i would have been much happier making a case for him, given his clear on panel feat. Its King Thor, whose feats are limited, and although Zarathos, himself, without a human host is a bit of a jobber really.
Still going with Zarathos on this one, lack of many on panel high end feat from King Thor, and some pretty cool feats from Zarathos amped Ghost Rider (which is pretty clear evidence of Zarathos true power) is why i took the particular feat.
@killemall: Alright what If I'd change it to Odin and if the fight takes place in Asgard ?

Let us start : Tell my why Odin will win and I'll try to disprove that.
@kennypow: Reason why i believe Odin would win, a vastly superior display of power, and just as good if not better versatility. We are talking about a guy who has been from a galactic to universal threat, arguable busted galaxies, defeated an amped up hell lord (a class 2 demon, at least to some extent comparable to Zarathos) and the likes.
But my knoweledge of Zarathos comes from either Ghost Rider issues of him going around beating hell lords or Zarathos appearing in crossover, where he was defeated by Midnight sons, tricked and defeated by Mephisto and well played around by Beyonder (which is not a bad feat by any stretch).
So i would need to hear your side of the argument to put forward more stuffs, and hopefully break out some scans and bios.

Yes the penance stare isn't limited, Odin is powerful but he is no exception.

Penance Stare should hurt Odin, but to be honest Zarathos himself has never actually used Penance Stare , at least none that i have seen.
Also its a pretty hard ability to use in a fight, unless you can incapacitate someone.
Hellfire would hurt Odin too, much like Odin magic, both dark and normal would hurt Zarathos.
It goes both ways.
Normally yes, you have give him the destroyer armor, whose main purpose is to amp him.
Odin vs Zarathos very debatable, i would personally back Odin but i am a fan so meh, but with Destroyer Armor its hard to argue given how much the armor can amp you.

Zarathos has been pretty updated these past few years. Ghost Rider's power is that of god's vengeance as caretaker's granddaughter said to Blaze(can't remember that chick's name for the life of me). Thor and Odin are powerful,but so was Zadkiel and he wasn't able to stop the Ghost riders nor kill them even after having taken heaven's throne. Mephisto tricked Zarathos into facing Centurios(if I spelled his name right)who had no soul and wound up imprisoning him because he was afraid of Zarathos becoming more powerful then him. An out of control Ghost rider is very dangerous such as in GR's last series when Blaze had to stop Alejandra(female GR)from killing Mephisto because it would've destroyed reality

He is taken blast that have been said to destroy galaxies and has fought and people , pretty clearly, considered galaxy/ universal level like Surtur, Ymir, extremely amped up Seth, Infinity (not the abstracts) etc.
Odin lost against Celestials because they are just too far superior then him, most of the time. Celestials are by far the most inconsistent character in marvel, and honestly losing against them isnt bad feat at all. We have Arishem tank a blast from angry Franklin Richard without so much as a scratch despite the latter create his own pocket realm, and his own universe.

This is no curbstomp, read GR, just because Odin is skyfather doesn't mean he stomps, and penance stare ftw.

It most definitely isn't a curbstomp. I still don't think that Odin/w Destroyer armor has the raw power/durability to keep up with Zarathos. Zarathos can only be harmed with magic and even that doesn't harm him that much.He has infinite stamina. He should win via Hellfire which would as everyone else agrees - indeed hurt Odin.@king_saturn

I'm probably in the minority on this one, but I'll put my cash on Odin without the Armor taking the win. If Galactus has trouble with Odin, but thinks Mephisto is trouble, and in turn Mephisto thought Zarathos was trouble...Odin should be more than enough to lay waste to Zarathos. I don't think Odin is really at all afraid of Galactus. But, I do think that Galactus is afraid of fighting Mephisto and Mephisto is afraid of figthing Zarathos if he got out of his slave contract.
But...dat' Pennance stare is the dealbreaker. If Zarathos can also use it and actually lands it, its game over for Odin.

odin wins, he doesnt even need the destroyer armour, zarathos was beaten by mephisto (with trickery, of course, but was beaten and imprisoned) he is powerful, but not skyfather level powerful,

@kennypow: Odin will laugh at hellfire, Thor (classic)/ walked right through hell fire himself and Odin is well above Thor. GR blasted hellfire at Thor at Thor didn't even budge walked right through it. Also mephisto imprisoned zarthos, while Odin literally easily stomped mephisto. There is a huge gap here between power levels, Odin is a universal threats he don't need armor to win here.
